SYNPL
These Terms govern the SYNPL website, macOS application, iPhone companion, AI functions and integrations (the "Services"). They form an agreement with WORKSTORIES, INC. ("SYNPL", "we", "us") when you affirmatively accept them in an installation, account, activation or purchase flow that incorporates them. Do not activate or purchase the Services if you disagree. Merely browsing a policy page is not acceptance of recurring charges or optional data processing.
If you act for an organization, you confirm authority to bind it, and "you" includes that organization. Otherwise you contract personally. Mandatory consumer status depends on law and the actual transaction, not the title of a pricing plan.
BETA NOTICE. SYNPL IS EXPERIMENTAL SOFTWARE, INCLUDING ON PAID PLANS. IT IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH THE DISCLAIMERS, RISK ALLOCATION AND LIABILITY LIMITS IN SECTION 12. DO NOT USE IT AS YOUR ONLY RECORDKEEPING SYSTEM OR FOR EMERGENCY OR SAFETY-CRITICAL OPERATIONS. NON-WAIVABLE RIGHTS REMAIN PROTECTED.
WORKSTORIES, INC. operates SYNPL. Contact: support@synpl.com. Mailing address: 2093 Philadelphia Pike #2517, Claymont, DE 19703, United States.
These Terms incorporate the Billing & Refund Policy, the applicable Data Processing Agreement for business processing, and the relevant Third-Party Licenses. The Privacy Policy, AI Providers & Data Use and Cookie Policy explain processing and associated commitments. Acceptance of these documents does not replace separately required data, device, payment or recording consent. Section 16 governs conflicts.
SYNPL assists an individual user with information retrieval, drafting, digests, tasks, local working memory and approved communications. The desktop application requires a supported Apple Silicon Mac running macOS. The iPhone companion is a remote interface to the Mac, not a replacement for an available Mac. There is no Windows edition or general team-administration service promised by these Terms.
Workspace records are stored on the Mac. Cloud AI requests pass through api.synpl.com, hosted in Germany, to OpenAI; the application server does not retain those request/response bodies. We do retain operational account, subscription, usage and device records. Phone relay content is end-to-end encrypted, whereas the cloud AI route uses encrypted transport and is processed by SYNPL's server and OpenAI. The Privacy Policy contains the complete distinctions. SYNPL is not an entirely offline product or a cloud-backup service.
Features are limited to the released version, enabled integrations and accepted offer. Microsoft functions currently require an enabled tenant. An integration list is not a warranty of universal compatibility. The current release does not include Slack, generic IMAP/SMTP, iCloud Mail or Yahoo Mail integration, or enabled Google Drive/Docs/Sheets/Contacts integration. The current Google connector provides Gmail read/send and read-only Calendar access.
An "assistant" or "synthetic employee" is software, not a person, licensed professional, fiduciary or employee. Available roles are those shipped in the product; marketing references do not promise arbitrary new roles, autonomous hiring, a future feature or bespoke implementation. Unless separately agreed, there is no service-level agreement, guaranteed result, dedicated support commitment or guaranteed model/version.
Beta features may be incomplete, inaccurate, interrupted, reset, changed or discontinued, subject to Sections 7, 8, 11 and 14. We need not release a final product or fix every issue except as required by a binding commitment or law. Paying for access does not remove beta status.
You must be at least 18 and legally able to contract. Give accurate account and billing information, protect access credentials, and use only devices and accounts you are authorized to use. Device ownership or possession of a password does not establish permission to process all third-party information accessible through it.
You are responsible for security within your control: Mac/iPhone encryption, authentication, operating-system updates, physical access, malware protection, local permissions, backups, sync settings and your own provider accounts. Review Full Disk Access and other permissions carefully. We do not administer your laptop, retain its recovery keys, supply managed backups or continuously monitor it for compromise.
Notify support promptly about a suspected SYNPL vulnerability or account misuse, without disclosing secrets or an entire workspace. You are not automatically liable for unauthorized use caused by our breach of duty. We may impose reasonable security and rate limits. Do not share accounts to evade limits, circumvent metering, abuse trials or access another user's information.
You choose the sources and conversations to connect and remain responsible for lawful instructions, notices and organizational approvals. Connector permissions establish technical access, not blanket permission to send or change information. WhatsApp reads the selected local database through macOS permissions. Google and Microsoft access must remain within the relevant provider permissions and permitted purposes.
SYNPL can send Gmail/Exchange email and supported Teams/Telegram messages after your approval; an approved send can be scheduled for later. It is not accurate to assume the product only drafts. Review recipients, attachments, content and timing before confirming. Confirmation of a schedule authorizes execution at that time without a second confirmation; it is not authorization for unrelated future messages. Additional consequential actions require the applicable specific approval.
You may enable recurring retrieval, digests or other available workflows within the disclosed scope. Review permissions and pause or disconnect a workflow when no longer needed. Untrusted emails, files, web pages and model outputs are not instructions from you and must not expand permissions. A malicious instruction in source material can still create risk; use human review for consequential results.
Local tasks and phone features depend on the Mac, relevant applications and network connections being available. An offline or sleeping Mac, expired access or provider failure may delay or prevent execution. Do not assume SYNPL's servers will execute local work in its absence. Verify execution and queued sends after reconnection. A sent message cannot reliably be recalled; stopping an integration does not reverse a completed action.
Voice-message transcription and imported Plaud recordings do not constitute a general call-recording service. Obtain any legally required consent to record, import or process another person's voice. Real-time voice and speech generation involve the external AI processing disclosed in the Privacy Policy.
Outputs may be wrong, incomplete, outdated, fabricated, misleading or similar to others' outputs. Summaries, references, deadlines and proposed actions require verification. Use appropriate human review before external communication, business commitment or reliance.
The Services are not legal, medical, financial, tax, security or other regulated advice. Do not use them as the sole basis for a decision materially affecting a person's employment, credit, insurance, housing, health or legal rights. Do not use local workload/pressure or crisis-marker features to diagnose people, rank their character, conduct covert employee monitoring or replace emergency assistance.
Minimization is not a guarantee of anonymity. Prompts, source fragments, search terms, audio or output may remain identifying, and OpenAI may retain information under its API policies. Do not send credentials, confidential material you lack authority to disclose, or information whose permitted handling is incompatible with the Services. You remain responsible for decisions and permissions within your control; we retain duties that cannot lawfully be transferred to you.
You retain your rights in documents, communications, prompts and other material you lawfully use ("Customer Content"). Other people's rights remain theirs. You give us a limited, non-exclusive permission to process selected content to supply the functions you instruct: local reading, indexing, transformation and memory; transit through the SYNPL server; processing by the disclosed providers; delivery of approved communications; and support specifically requested by you. This is not a general right of remote device access.
The permission does not authorize us to persist your personal workspace as a hosted repository, sell or publish Customer Content, use it for advertising, or train general-purpose models on it. Operational records and information voluntarily submitted to support are handled under the Privacy Policy. Google-derived information remains subject to the stricter Limited Use commitments. The functional permission ends when no longer needed for the instructed service, subject to lawful retention obligations.
As between you and SYNPL, you own generated outputs to the extent ownership can exist and applicable law permits; we assign any rights we hold in those outputs to you. This does not guarantee copyright protection, uniqueness, accuracy, non-infringement or rights in third-party material. You are responsible for checking rights before publication or distribution.
SYNPL's software, branding and documentation remain ours or our licensors'. We grant a limited, non-exclusive, non-transferable right to use the released application for your authorized use while permitted under this agreement. Do not redistribute proprietary software, resell account access, remove notices or reverse engineer except where law or an applicable open-source license permits it. The Third-Party Licenses notice preserves those separate rights. Voluntary product feedback may be used without payment; that permission excludes private workspace content and does not authorize training on Google-derived data.
The Billing & Refund Policy sets the applicable purchase, cancellation and refund rules. Price, currency, tax, billing period, token allowance and any additional charge must be disclosed before you authorize payment. An accepted order governs a specific offer; unpublished or legacy interface values do not authorize a different charge.
The standard beta trial, when offered, lasts 24 hours and requires a payment card. It converts to the selected paid subscription at the disclosed price unless cancelled before the stated trial deadline. Recurring billing requires affirmative authorization. The exact conversion time and amount must be disclosed before enrollment. A trial allowance is not unlimited usage or a second statutory withdrawal period.
Subscriptions renew for the disclosed period until cancelled. Cancel using the purchase's subscription controls or email support@synpl.com before renewal. A clear request received before the deadline is effective despite our processing delay. Deleting local data, uninstalling the application or disconnecting Google does not cancel a subscription. Mandatory online cancellation and withdrawal mechanisms must also be available where law requires them.
Allowances are measured in tokens, not a separate marketing "credits" unit. Tokens are service-use units, not cash, cryptocurrency, transferable property or a guaranteed number of successful tasks. Metering follows the disclosed rules; resources actually used may count even when an answer is inaccurate or a request is interrupted. This does not authorize fictitious usage or duplicate charges.
Included monthly tokens and purchased Boost tokens expire at the end of the current billing period and do not roll over, unless your accepted offer expressly gives more favorable terms or law requires otherwise. A Boost purchased shortly before that date has only that remaining validity; it does not begin a new monthly period. The price, allowance and expiry must be disclosed before purchase. No retroactive expiry is imposed on a top-up previously sold under a binding non-expiry promise.
When tokens run out, token-dependent AI functions pause. Available local search, indexing and calendar functions can continue subject to the normal device and account requirements. You may wait for renewal, upgrade or purchase an offered Boost. No automatic top-up is authorized by these Terms alone.
Except for an expressly accepted offer, the Billing & Refund Policy, these Terms or mandatory law, properly charged fees are final; there is no discretionary change-of-mind refund or guarantee that AI outputs will satisfy you. We correct substantiated overbilling and unauthorized charges. Express refunds under Sections 11 and 14 are not reduced by the liability cap.
Mandatory consumer rights remain available, including applicable remedies for defective digital services and any statutory withdrawal right. Where an EEA or UK distance-contract withdrawal right applies, it is generally 14 days from contract conclusion, subject to legally defined exceptions. Send a clear withdrawal statement to support or use a required online withdrawal mechanism. Early access alone does not remove that right: any lawful loss of a right or proportionate charge for early performance requires the prescribed separate request, consent, acknowledgment and confirmation.
Good-faith payment disputes, complaints, court claims and regulatory reports are not prohibited or penalized. A plan name or a statement that a product is beta does not override mandatory law.
Do not use the Services for unlawful surveillance, unauthorized access, fraud, spam, impersonation, rights infringement, harmful code, circumvention of security, or use prohibited by the applicable connected-provider terms. Do not deliberately remove privacy controls to expose someone else's information. Security research must respect lawful authorization; nothing here prevents protected reporting.
Unless expressly agreed with suitable safeguards, do not submit regulated health records, payment-card security data, biometric-identification datasets, criminal-record datasets, children's records or other information requiring special contractual or technical protection beyond the disclosed service. Ordinary business records can incidentally contain sensitive information; select and minimize sources and establish an appropriate lawful basis before processing. Detection filters are not a compliance guarantee.
Do not use the beta for life-support, emergency dispatch, autonomous financial transfers or other safety-critical functions. You must comply with applicable export, sanctions and access restrictions. We may proportionately restrict a use that breaches this Section under Section 11.
OpenAI is the current cloud AI provider. Hetzner hosts the SYNPL intermediary in Germany; Amplitude, Stripe, Apple and Webflow perform the different functions disclosed in the Privacy Policy. The current service is not a direct-device-to-model-only architecture and not a zero-retention OpenAI deployment. A future provider is not authorized merely because these Terms discuss integrations.
Your independently maintained provider accounts remain governed by your agreements with them. Changes to provider APIs, approvals, availability or tenant settings can affect integrations. We do not warrant their continuous availability. However, an OpenAI or other provider engaged by us is not automatically your independent provider, and calling it a third party does not remove our own processor, selection or contractual duties.
We do not promise compatibility with every source or environment. New data recipients, expanded permissions or materially different processing require the notices, contractual steps and consent applicable to the change.
We may suspend or terminate access for material breach, substantiated abuse, serious security risk, a legal requirement or overdue undisputed payment. Where reasonably possible, we give an explanation and an opportunity to cure. Immediate action may be necessary to prevent harm. Suspension does not suspend privacy rights or justify a charge without authorization.
For discontinuation or termination unrelated to your breach, we normally give 30 days' notice where practicable and refund prepaid fees for the unused service period, together with the attributable price of unused, unexpired paid Boost tokens for the discontinued service. We do not refund the same element twice. A material reduction of a prepaid function may entitle you to an equivalent remedy or a proportionate refund. Mandatory remedies apply independently.
Before uninstalling or changing devices, save or export needed local information using available functions. We cannot restore a local workspace we do not back up. Use "Erase everything from this Mac" for local removal; email support for server-account deletion. Check your own backups, paired phone and original source accounts separately. Cancellation, local erase, provider revocation and server deletion are distinct actions. Expiry of a subscription does not grant us a right to upload or remotely erase your local records.
Accrued payment, intellectual-property, data-protection, liability and dispute obligations survive to the extent needed to give them effect.
AS IS; NO ADDITIONAL WARRANTIES. To the maximum extent permitted by law, the Services, beta features, outputs and integrations are supplied as is, as available and with all faults. Except for non-waivable duties and express commitments in this agreement, the Privacy Policy, an applicable DPA or a signed agreement, we disclaim express, implied and statutory warranties, including merchantability, fitness for purpose, title and non-infringement.
No absolute security or performance guarantee. We do not warrant uninterrupted availability, perfect anonymity, absence of vulnerabilities, error-free results, correct execution in every case, compatibility, confidentiality against every threat, provider zero retention, data preservation or recovery, or a commercial result. Demonstrations and informal advice do not add a warranty. These exclusions do not negate the disclosed data-flow restrictions, required safeguards or approved-action rules.
Assumption of beta risk. You choose to use the experimental service at your own risk to the extent lawful. Risks include wrong summaries, malicious instructions in source content, misdirected messages, missed or delayed tasks, loss or corruption of local records, device compromise, and re-identification of minimized data. Maintain independent backups and human oversight. Acknowledging risks does not authorize us to act outside your permissions.
Excluded losses. Subject to the non-excludable rights below, WORKSTORIES, INC. and its affiliates, officers, directors, employees, contractors and licensors are not liable for indirect, incidental, special, consequential, exemplary or punitive damages to the maximum lawful extent. For business customers, this also excludes lost profits, revenue, savings, opportunities, goodwill, business interruption, and loss or corruption of data, whether characterized as direct or indirect.
Business-customer cap. For business customers only, the combined aggregate liability of those persons for claims arising from the Services and these related documents will not exceed the greater of USD 100 or the fees you paid for the affected Services in the three months preceding the event giving rise to the claim, to the maximum extent lawful. A signed agreement may set a different cap. Related policies and the DPA do not create additional caps or duplicate recovery. Express refunds due under this agreement are not reduced by this cap.
Allocation by cause. We are not responsible to the extent loss is caused solely by your failure to secure or back up a device, your unauthorized credential disclosure, or an independently chosen service outside our arrangements and control. This does not excuse loss attributable to our software, unauthorized processing, breach, or a provider for whom law makes us responsible.
Non-excludable rights. No exclusion or cap applies where law prohibits it, including applicable liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, or death or personal injury caused by negligence. Non-waivable consumer and data-protection rights, statutory compensation, regulator powers and lawful access to courts remain intact. The business-customer cap does not apply to consumers. No provision prohibits a lawful claim or complaint.
Where lawful, these limitations apply independently regardless of legal theory, including contract, tort and ordinary negligence, even if a loss was foreseeable. They do not override a prevailing mandatory transfer clause, Google Limited Use duty or express processing restriction.
A business customer will defend and indemnify us against third-party claims to the extent caused by its unlawful Customer Content, infringement by material it supplies, lack of authority for its instructions, or intentional misuse in breach of these Terms. This does not cover our own breach, negligence or misconduct, or merely the customer's authorized use of the service. It does not apply to consumers.
We must give prompt notice and reasonable cooperation and permit control of a reasonable defense. No settlement may require our admission, non-monetary obligation or unreimbursed payment without consent, not unreasonably withheld. Liability remains allocated according to actual responsibility and mandatory law.
Material changes normally receive at least 30 days' advance notice by account email or in-product notice. A change urgently needed for security or law may take effect sooner with notice as soon as practicable. Changes apply prospectively, with renewed acceptance or consent where required; continued use is not a substitute when affirmative consent is necessary.
A move to persistent hosted workspace storage, a new cloud AI recipient or materially different data use requires the applicable advance disclosures and permissions. An existing operational server does not authorize unlimited storage. Price and metering changes do not retroactively change accepted purchases or previously granted token rights. You may cancel before a change takes effect; if a materially adverse change alters a prepaid commitment you reject, you may request the appropriate proportionate refund.
For business customers, Delaware law governs, excluding conflict-of-law rules, and state and federal courts in Delaware have exclusive jurisdiction, subject to prevailing mandatory law and transfer clauses. Contact support to seek informal resolution; doing so is not a mandatory barrier to urgent relief or a statutory claim.
For consumers, this choice does not remove mandatory protections or jurisdiction rights under applicable law, including the law of habitual residence. These Terms do not impose mandatory arbitration or waive a non-waivable collective remedy.
Mandatory law and applicable mandatory transfer clauses prevail. An accepted DPA controls a conflict about processing performed on the customer's behalf; the Privacy Policy and Google restrictions continue to limit permitted use. A signed service agreement or accepted order controls a specific commercial conflict only as law permits. The Billing & Refund Policy supplies billing detail. A third-party software license controls that component to the extent it requires. Otherwise these Terms govern. No general clause silently overrides a more protective express data commitment.
Non-enforcement is not waiver. If a clause is unenforceable, the remainder survives to the extent lawful. Events reasonably outside a party's control may excuse delay with reasonable mitigation, but not mandatory refund or data-protection duties. An assignment by us in a business transfer requires assumption of our obligations and any legally or contractually required notice and consent, including Google's restrictions. You may assign only with our consent or where law permits.
The English version controls unless mandatory law requires otherwise. Service notices may be sent to your account email or an appropriate in-product channel. No partnership, employment or general agency is created. Contact support@synpl.com for notices, cancellations, rights requests or questions.
